Please carefully review these terms of use ("Agreement" or "Terms of Use") before using the website, mobile applications, and services offered by Lawn Shopper, Inc. and its subsidiaries (collectively, "Company"). This Agreement establishes the legally binding terms and conditions for your use of the website at www.lawnshopper.com and the services provided by Company (collectively, the "Services").

Whether you are a visitor, lawn care professional, or a lawn care recipient (visitor, lawn care provider, and lawn care recipient, collectively, “users” or “you”), by using the Services in any manner, including but not limited to visiting or browsing the Services, you agree to be bound by this Agreement. This Agreement applies to all users of the Services. If you are a lawn care professional, you will be required to agree to supplementary terms governing your use of Lawn Shopper platform and provision of lawn care services.

A. Company is a Brokerage Platform
Lawn Shopper operates as a brokerage platform that connects lawn care professionals, who adhere to Lawn Shopper's policies, with users who seek lawn care services. Lawn Shopper does not have any involvement in the services provided and is unable to verify the identity, age, or nationality of users. It is the responsibility of users to conduct independent verification or use a third-party service for additional user verification. Additionally, while Lawn Shopper does require proof of insurance from service providers, we cannot guarantee that the professionals have adequate insurance coverage. By using the services, users acknowledge that they use the services at their own risk.

B. Eligibility for Service
Only individuals who are 18 years of age or older and who can form legally binding contracts under applicable law are eligible to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and that all the information you provide during the registration process is accurate and truthful. Lawn Shopper reserves the right to deny access to or use of the Services to any person or entity and to change its eligibility criteria at any time. This provision is not applicable in jurisdictions where it is prohibited by law and the right to access the Services is therefore revoked in those jurisdictions.

Please note that some Services offered by Lawn Shopper may be subject to additional terms and conditions imposed by Lawn Shopper or a third party. Your use of these Services is subject to these additional terms and conditions, which are incorporated into this Agreement by reference.

Lawn Shopper reserves the right to refuse service to anyone, for any reason, at any time.

C. Payment Terms
The fees for the Services are due immediately after the lawn care service is completed and are not refundable under any circumstances, including if you or Lawn Shopper decide to terminate your use of the Services, if there are disruptions to the Services (planned or unplanned), or for any other reason. If payment is not received within 10 days of the stated due date, your service will be temporarily suspended until payment is received. Lawn Shopper reserves the right to set the final prices for the Services. We may also offer promotions with different rates and features to some customers, but these promotions will not affect your offer or contract unless they are specifically made to you. Lawn Shopper may also change the fees for the Services at any time for business purposes.

D. Privacy
Company will not sell or disclose your personal information to any third parties without your express consent. 

E. Use of Personal Information
By using the Services, you consent to being contacted by Lawn Shopper for any purpose related to this Agreement and the Services, using any phone number or physical or electronic address you have provided or can be reached at. This includes the use of informational text (SMS) messages. You also consent to receiving SMS messages, calls, and emails from Lawn Shopper. Please note that your cellular or mobile phone provider may charge you fees based on your plan.

F. Intellectual Property Ownership
Lawn Shopper and its licensors (if applicable) retain all ownership rights, including intellectual property rights, in the Services. This Agreement does not transfer any ownership or intellectual property rights to you. Lawn Shopper's name, logo, and product names associated with the Services are trademarks of Lawn Shopper or third parties, and you are not granted any rights to use them.

G. Feedback
Lawn Shopper views any unsolicited ideas, suggestions, proposals, or other materials submitted through the Services (collectively referred to as "Feedback") to be non-confidential and non-proprietary. Lawn Shopper will not be responsible for the disclosure or use of any Feedback. If a user submits Feedback at the request of Lawn Shopper to improve the Services, Lawn Shopper will also consider this Feedback to be non-confidential and non-proprietary, and will not be held responsible for the use or disclosure of the Feedback. By submitting Feedback, you grant Lawn Shopper full rights and license to use, publish, and exploit the Feedback for any purpose, commercial or otherwise, without compensation or accounting to you and without further recourse from you. Please note that any communication you make to Lawn Shopper is subject to this Agreement.

H. No Warranty
Lawn Shopper, its subsidiaries, officers, directors, employees, and suppliers provide the Services "as is," "as available," without any warranties or conditions, express or implied. This includes any implied warranties of title, merchantability, performance, fitness for a particular purpose, and non-infringement. Lawn Shopper, its subsidiaries, officers, directors, employees, and suppliers specifically disclaim any implied warranties. In addition, no advice or information, oral or written, obtained from Lawn Shopper will create any warranty. Some states do not allow the disclaimer of implied warranties, so this disclaimer may not apply to you. This warranty gives you specific legal rights, and you may also have other legal rights that vary by state.

Lawn Shopper cannot guarantee continuous and uninterrupted access to the Services, as the operation of the Services may be affected by various factors outside of Lawn Shopper's control.

I. Limitation of Liability
Lawn Shopper, its subsidiaries, officers, directors, employees, and suppliers will not be liable for any damages, direct or indirect, general or special, compensatory, consequential, or incidental, arising from or related to the use of the Services or this Agreement, including but not limited to lost profits, bodily injury, emotional distress, or any special, incidental, or consequential damages. Lawn Shopper's, and its subsidiaries', officers', directors', employees', and suppliers' liability to you or any third parties in any situation is limited to the greater of (a) the amount of fees you pay to Lawn Shopper in the 12 months prior to the action giving rise to liability, and (b) $100. Some states do not allow the exclusion or limitation of incidental or consequential damages, so this limitation or exclusion may not apply to you.

J. Indemnity
You agree to indemnify Lawn Shopper, its parent company, subsidiaries, affiliates, officers, directors, agents, and employees against any claims or demands, including attorney's fees, made by a third party as a result of your violation of this Agreement or the rights of a third party, or your breach of any law.

K. Dispute Resolution and Release
Lawn Shopper does not assume liability for any disputes resulting from damage to a Lawncare Recipient or their property caused by a Lawncare Professional. We will attempt to facilitate resolution by communicating with both parties, but we are not obligated to resolve the dispute.

L. Miscellaneous
This Agreement and any other policies may be amended by Lawn Shopper at any time. It is recommended that you regularly review the policies to stay informed of any changes. If a significant modification is made, Lawn Shopper will provide notification through email, a notice on the homepage, or any other appropriate method. The determination of what constitutes a "material change" will be made at Lawn Shopper's sole discretion, in good faith, and using common sense and reasonable judgment.
